1. Introduction

Welcome to ScopeAI ("we," "us," or "our"). We provide an AI-driven web platform ("Services") that streamlines and automates project scope and requirements management for Business Analysts, Project Managers, Product Managers, Product Owners, QA specialists, and other professionals ("Users" or "you").

By accessing or using our Services, you agree to be bound by these Terms of Service ("Terms"). If you do not accept or agree with these Terms, you must not use our Services.

2. Definitions and Interpretation

The following terms have specific meanings:

  • "Account" – The user credentials (e.g., username, password) and any associated access rights required to use ScopeAI Services.
  • "Confidential Information" – Any non-public, proprietary, or confidential information disclosed by one party ("Discloser") to the other ("Recipient") related to the Services, as defined in Section 9 below.
  • "Customer Data" – All electronic data, content, or information you upload or submit to the Services or generated by the Services on your behalf (e.g., project documents, user stories, epics, tasks, diagrams, QA artifacts, and others).
  • "Fees" – Subscription or usage payments for the Services.
  • "Services" – The ScopeAI platform, tools, website, web application, integrations, features, and any related offerings as described in these Terms.
  • "User" or "You" – An individual accessing the Services on their own behalf or on behalf of a company or other legal entity.

3. User Eligibility and Age Requirements

Legal Capacity

You must be at least 16 years old (or such higher age as required by local legislation) to use our Services. If you are under the age of majority in your jurisdiction (e.g., under 18 in many regions), you must obtain parental or guardian consent where applicable.

Prohibited Use by Minors

If we discover such individuals have accessed or used our Services, we reserve the right to take appropriate actions, including terminating their Accounts.

Business Use

If you are entering these Terms on behalf of an organization, you represent that you have the authority to bind that entity, and "you" includes both the entity and yourself as an individual user.

4. Account Registration and Security

Registration

You may need to create an Account by providing accurate, current, and complete information, including but not limited to your name, email address, and payment details if required.

Security Obligations

You are solely responsible for maintaining the confidentiality of your login credentials. Notify us immediately if you suspect any unauthorized access or usage of your Account.

Multiple/Trial Accounts

You agree not to create multiple Accounts to abuse any trial or free tier offers.

5. Scope of Services

Service Description

ScopeAI offers an AI-driven platform to help generate and manage requirements, questionnaires, epics, tasks, user stories, diagrams, test cases, and other project artifacts.

Third-Party Integrations

  • Jira, Slack, and Others:

    You may connect ScopeAI to third-party platforms. We are not responsible for the availability or functionality of these services or any data once it leaves our platform.

  • Data Transfer:

    By enabling an integration, you acknowledge that certain project-related data (project descriptions, epics, tasks, user stories) will be exchanged between ScopeAI and the third-party service.

Service Availability

While we strive for maximum uptime, maintenance windows or unforeseen outages may occur. We are not liable for any interruptions caused by factors beyond our control.

6. Plans, Fees, and Payment

Free Tier / Trial Program

  • You may access limited features or usage of the Services at no cost ("Free Tier" or "Trial").
  • We reserve the right to change the scope or duration of any free or trial offers at any time.

Subscription Plans

  • If you exceed Free Tier limits or need additional features, you must upgrade to a paid subscription.
  • Automatic Renewal: Subscriptions renew at the end of each billing cycle unless canceled before renewal.

Billing and Taxes

  • You agree to pay all Fees associated with your chosen plan. Fees are exclusive of sales tax, VAT, or other applicable taxes unless specified otherwise.
  • Payment Methods: You authorize ScopeAI or its payment processor to charge your credit card or other designated payment instrument.

Refunds / Cancellation

  • Unless stated in a written refund policy, all Fees are non-refundable.
  • If you cancel your subscription, you may lose access to certain features upon the next billing date.

Failure to Pay

We may suspend or terminate your access to the Services if Fees remain unpaid after the due date. Late fees may apply to overdue amounts.

7. Acceptable Use

Prohibited Activities

You shall not:

  • Upload harmful code, viruses, or infringing materials;
  • Engage in any illegal or fraudulent activity;
  • Interfere with or disrupt the Services, networks, or servers;
  • Scrape, crawl, or otherwise extract data without our explicit permission;
  • Circumvent security features or user authentication.

Your Responsibilities

You are responsible for reviewing and validating any AI-generated content. You must ensure you have the necessary rights to any data or files you upload.

8. Intellectual Property & Ownership

Our IP

ScopeAI retains all rights, title, and interest in and to its Services, technology, and associated intellectual property.

User Content

You own or must have permission to use any materials you upload. You grant us a limited, non-exclusive, worldwide license to process and display your data as needed to provide the Services.

AI-Generated Outputs

  • Depending on your usage, certain outputs (e.g., questionnaires, diagrams, user stories) may be automatically generated. ScopeAI does not guarantee the complete uniqueness of AI-generated assets.
  • You must verify you have rights to any third-party assets (logos, images, etc.) utilized within the generated content.

Feedback

Any ideas, suggestions, or feedback you provide may be used by ScopeAI to improve its products and services without compensation to you.

9. Confidential Information

Definition

"Confidential Information" means non-public data or materials designated as confidential, or which a reasonable person would consider confidential.

Use and Disclosure

Each party agrees to use the other's Confidential Information solely for fulfilling obligations under these Terms and to protect it from unauthorized use or disclosure with the same degree of care used for its own confidential data.

Exceptions

Confidential Information does not include information that becomes public through no fault of the Recipient, was already lawfully known, is independently developed without referencing the Discloser's Confidential Information, or is disclosed under a legal obligation.

10. Data Protection & Privacy

Compliance

If you are located in the EEA or the UK, we process personal data in accordance with the GDPR and other applicable regulations.

Privacy Policy

Please refer to our Privacy Policy for details on how we collect, use, and disclose personal data. By using our Services, you consent to such processing.

International Transfers

We may transfer data between the United States and Europe. We utilize safeguards such as Standard Contractual Clauses to protect cross-border transfers when required by law.

11. Disclaimers

As-Is Service

ScopeAI provides the Services on an "as-is" and "as available" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

No Professional Advice

AI-generated content may contain inaccuracies. We do not provide professional advice (legal, financial, etc.), and you are responsible for verifying the suitability of any outputs.

12. Limitation of Liability

Indirect Damages

To the fullest extent permitted by law, ScopeAI shall not be liable for indirect, special, incidental, or consequential damages arising from your use of the Services.

Jurisdictional Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such cases, the liability of ScopeAI will be limited to the maximum extent permitted by law.

13. Indemnification

User Responsibility

You agree to indemnify and hold ScopeAI harmless from any claim, demand, or damages (including legal fees) arising out of or related to:

  • Your breach of these Terms;
  • Your misuse of the Services;
  • Your infringement of any third-party intellectual property or privacy rights.

14. Termination and Data Deletion

Termination by You

You may cancel or delete your Account at any time via your account settings or by contacting support.

Termination by ScopeAI

We may suspend or terminate your access if we believe you violate these Terms, or if your payment is delinquent beyond a reasonable timeframe.

Data Deletion

We do not guarantee the retention of your data after termination. You should export or back up all needed information before canceling.

Governing Law

These Terms are governed by the laws of the USA and Europe, without regard to conflicts of law principles.

Dispute Resolution

All disputes arising out of or in connection with these Terms that cannot be resolved informally shall be resolved through binding arbitration or in the courts of the USA and Europe, depending on local legal requirements.

UN Convention

The parties disclaim the application of the U.N. Convention on Contracts for the International Sale of Goods.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will post the revised Terms on our website and, where appropriate, notify you via email or in-app notification. Your continued use of the Services after such posting indicates your acceptance of the changes.

17. Miscellaneous

Entire Agreement

These Terms, along with any associated policies (e.g., Privacy Policy), constitute the entire agreement between you and ScopeAI regarding the Services.

No Waiver

Failure to enforce a provision does not waive ScopeAI's right to do so later.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

Assignment

You may not assign these Terms without our written permission. We may assign or transfer them without restriction.
